Polyglot Live — Terms of Service, End-User License Agreement (EULA) and Privacy Policy
Version 1.1 — Effective October 27, 2026. Please read these Terms carefully before installing or using Polyglot Live. They apply worldwide across Latin America, North America, Europe, and other supported regions, and include a Merchant of Record billing structure (Lemon Squeezy), a strict no-refund policy (all purchases are final; monthly subscriptions can be cancelled at any time to stop future renewals), your sole legal responsibility to notify and obtain consent from all call participants, and limitations of liability.
1. Who we are (Provider & Data Controller)
Polyglot Live ("Polyglot Live", "we", "us", or "our") is part of the Polyglot Suite software ecosystem (which includes Polyglot Live and Polyglot Academy, https://polyglotsuite.com) and is independently developed and operated by Fredy Mendoza, operating under the trade name "Polyglot Suite", an independent software developer (natural person) domiciled in Medellín, Antioquia, Republic of Colombia.
Official contact for customer support, legal notices, and privacy rights: support@polyglotsuite.com. Fredy Mendoza (operating under the trade name "Polyglot Suite") acts as the Data Controller (Responsable del Tratamiento de Datos Personales / Controlador de Dados) for the personal data described in Section 10.
2. Acceptance, eligibility (18+) and territorial availability
By downloading, installing, signing in to, purchasing, or using Polyglot Live, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the application or the service.
Age Eligibility. You must be at least 18 years old (or the legal age of majority in your country of residence, if higher) and have full legal capacity to enter into a binding contract. The service is not directed to minors under 18, and we do not knowingly collect personal data from minors. If we learn that an account belongs to a minor, we will close it.
Territorial Availability and Sanctions Compliance. The service is not offered in, and may not be accessed, purchased, or used from, the following prohibited countries and territories: Afghanistan, Belarus, Cuba, Iran, Mainland China (including Hong Kong and Macao), Myanmar, North Korea, Russia, Syria, the Crimea region, and the non-government-controlled areas of the Donetsk, Kherson, Luhansk, and Zaporizhzhia regions of Ukraine, or any other country, territory, or jurisdiction where our Merchant of Record (Lemon Squeezy) or cloud infrastructure providers restrict service or where providing the service would be prohibited by applicable trade embargoes or financial sanctions imposed by the Republic of Colombia, the United States (OFAC), the United Nations, the European Union, or the United Kingdom (including sanctioned individuals, entities, or restricted payment channels in Venezuela or Nicaragua). By using the service, you represent and warrant that you are not located in, organized in, or ordinarily resident in any prohibited jurisdiction and that you do not appear on any applicable sanctions or restricted-party list (including the OFAC SDN List, UN Consolidated List, EU/UK Sanctions Lists, or Colombian SARLAFT/SAGRILAFT lists). We may immediately refuse, suspend, or terminate access that breaches this clause without notice or refund.
3. End-User License Agreement (EULA)
Subject to your compliance with these Terms and an active plan, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and run the Polyglot Live desktop application on Windows or macOS computers that you personally own or control.
License Restrictions. You may not copy, modify, adapt, translate, distribute, sell, lease, rent, lend, sublicense, decompile, disassemble, decrypt, or reverse engineer the application or the service, or attempt to extract its source code, binary assets, communication protocols, credentials, or underlying configuration, except to the limited extent that such restriction is expressly prohibited by mandatory applicable law.
Intellectual Property. Polyglot Suite, Polyglot Live, Polyglot Academy, and their software architecture, user interface, visual design, names, domain (polyglotsuite.com), and logos belong exclusively to Fredy Mendoza (operating under the trade name "Polyglot Suite") or his licensors. No rights are granted other than those expressly stated in these Terms. Third-party virtual audio drivers included with the installer are separate works governed by their own licenses (Section 17).
4. The service and artificial intelligence disclaimers
Polyglot Live provides real-time, two-way interpretation of spoken audio and live text captions generated automatically by artificial intelligence, including a computer-generated synthetic voice.
Communication Aid Only — No High-Risk Reliance. Artificial intelligence interpretation and transcription are probabilistic and may contain translation errors, omissions, delays, acoustic artifacts, or inaccurate renderings of context, idioms, numbers, or specialized terminology. The service is provided strictly as a general communication aid. It is not a substitute for a certified, sworn, or professional human interpreter or translator and must never be relied upon as the sole basis for medical diagnosis or treatment, emergency response, legal or judicial proceedings, notarized acts, aviation or maritime navigation, financial or investment execution, or any safety-critical or high-risk decision.
Service Availability. The service requires a stable broadband internet connection and compatible audio devices. It may be interrupted, limited, or modified for maintenance, security, or reasons beyond our reasonable control. If we permanently discontinue the paid service as a whole, we will give reasonable advance notice and, where required by applicable law, refund the proportional part of prepaid time that can no longer be used.
5. Calls, meetings and mandatory consent of other participants
Your Sole Legal Responsibility. You are solely responsible for how you use Polyglot Live in phone calls, video conferences, meetings, and conversations.
Mandatory Prior Notice and All-Party Consent. Before activating or using the service in any conversation with other people, you must clearly inform all participants that: (a) their spoken voice will be transmitted in real time over encrypted connections to an artificial intelligence interpretation service to produce live translation and local captions, and (b) they will hear a synthetic (AI-generated) voice (in accordance with AI transparency requirements such as Article 50 of Regulation (EU) 2024/1689 and equivalent laws). You must obtain all prior consents and authorizations required by the laws applicable to you and to every participant in the conversation, including wiretapping, call-recording, interception, telecommunications privacy, biometric, and data protection laws across all relevant jurisdictions (including all-party consent jurisdictions in Latin America, the United States, and Europe).
Do not use the service where any participant has not authorized it, where a participant objects, or in confidential, legally privileged, medical, or court-restricted proceedings where third-party cloud processing is prohibited.
6. Account registration and OAuth 2.0 security
You sign in using official OAuth 2.0 with PKCE through your existing third-party account (Google or personal Microsoft account). You are responsible for keeping your account and devices secure and for all activity conducted under your account.
Accounts and purchased hours are personal to a single individual and may not be shared, pooled, sold, or transferred. Please notify us promptly at support@polyglotsuite.com of any unauthorized use of your account.
7. Acceptable use policy
You must not: (a) use the service for unlawful, fraudulent, harassing, defamatory, discriminatory, or deceptive purposes, including voice impersonation or spoofing; (b) intercept, record, or process communications without the legally required notice and authorization of all participants; (c) circumvent, manipulate, or falsify server-side usage metering, session leases, time limits, access controls, or checkout flows, or use unofficial or modified clients; (d) share, rent, or resell your account or provide the service to third parties as a commercial service bureau; (e) probe, scan, attack, overload, or disrupt the service, or test its security without our prior written permission; (f) use the service or its outputs to build, train, fine-tune, or benchmark a competing product or artificial intelligence model; or (g) use the service in violation of applicable export control or sanctions laws, or from a prohibited jurisdiction (Section 2).
We may suspend or terminate accounts involved in any violation of this section.
8. Plans, prices, taxes and Merchant of Record billing
(a) Merchant of Record (Lemon Squeezy). All purchases and subscriptions are processed by Lemon Squeezy (Lemon Squeezy, LLC / Stripe), which acts as our authorized reseller and Merchant of Record (MoR). Lemon Squeezy is the legal seller of record on your billing statement and receipt: it processes your payment method, calculates, collects, and remits applicable digital taxes (such as VAT, IVA, GST, ICMS, or sales tax), and issues your tax invoice. Your purchase is also governed by Lemon Squeezy's buyer terms and privacy policy. Polyglot Live never receives, processes, or stores your full credit/debit card number, CVV, or banking credentials.
(b) Currency, Taxes and Bank Fees. Base plan prices are set in United States Dollars (USD) (and may be displayed or settled in local currency at checkout where supported by the Merchant of Record). Applicable indirect taxes (VAT, IVA, GST, or sales tax) are calculated at checkout based on your location. Important notice for Latin America and international buyers (including Argentina, Brazil, Chile, Colombia, Costa Rica, Dominican Republic, Ecuador, Mexico, Panama, Peru, and Uruguay): your card-issuing bank or national tax authority may apply its own foreign-exchange conversion rate, international card transaction fees, or sovereign withholding/perception taxes (such as Impuesto PAIS / Percepciones in Argentina, IOF in Brazil, or cross-border card taxes), which are determined solely by your bank or government and are outside our control.
(c) Plan Types, Hours and Validity. The plan name, price in USD, included hours, and validity period shown inside the app before checkout form part of your contract. Monthly Subscriptions (Starter Monthly: 5 hrs/mo; Pro Monthly: 10 hrs/mo; Consultant Monthly: 20 hrs/mo): charged when payment is confirmed and RENEW AUTOMATICALLY every month at the current plan price until you cancel; each monthly cycle grants the stated hours, and unused monthly hours expire at the end of each billing cycle and do not roll over to the next month. One-Time Passes (Starter One-Time: 5 hrs; Pro One-Time: 10 hrs; Consultant One-Time: 20 hrs): grant the stated hours, valid for 30 calendar days from payment confirmation, and do not renew automatically. Flexible Time (On-Demand Hours): hours purchased individually, valid for 365 calendar days (1 year) from payment confirmation, and do not create a recurring subscription.
(d) Server-Authoritative Usage Metering. Usage is measured in real time by our servers while a translation session is active and is deducted second-by-second from your available balance. Using both translation directions simultaneously within the same conversation is counted once. A session stops automatically when your available hours or validity period run out. Our server measurement prevails over local device clocks or locally displayed counters; if a server metering error is verified, we will credit the affected time. Purchased hours have no cash value, are non-transferable, and expire at the end of their validity period.
(e) Cancellation of Monthly Subscriptions. You may cancel automatic monthly renewal at any time from the "Account" section of the desktop application ("Cancel renewal") or by emailing support@polyglotsuite.com at least 24 hours before your next scheduled renewal. Cancellation stops all future recurring charges, and you keep full access to your remaining hours until the end of the billing period you have already paid for.
(f) Price Changes. We will notify you in advance of any change to the price of an active monthly subscription. The new price applies starting from the next renewal after the notice period; if you do not agree, you may cancel before that renewal.
(g) Failed Payments and Chargebacks. If a renewal payment fails, the subscription does not renew until payment succeeds. Initiating an unjustified chargeback or payment dispute for valid charges may result in immediate account suspension while the dispute is resolved.
9. No-refund policy, cancellation of renewals and immediate digital performance
Strict No-Refund Policy. All purchases of monthly subscriptions, one-time passes, and flexible hours are final and non-refundable. We do not issue refunds, credits, or prorated reimbursements for partially used billing periods, unused hours remaining at the end of a validity period, accidental purchases, or dissatisfaction with the service. If you no longer wish to continue a monthly subscription, your sole remedy is to cancel automatic renewal at any time from the "Account" section of the desktop application ("Cancel renewal"); cancellation stops future recurring charges while allowing you to use your remaining active hours until the end of the current paid billing period.
Immediate Digital Provisioning and Inapplicability of Right of Withdrawal. Upon payment confirmation, your translation quota and digital access are provisioned and made available for immediate use in your account. By completing a purchase or starting a translation session, you expressly request and consent to the immediate supply and performance of the digital service and acknowledge that you thereby waive, lose, or exhaust any statutory right of withdrawal, cooling-off, or retraction (derecho de retracto, arrepentimiento, o desistimiento) to the maximum extent permitted by applicable consumer laws — including under Colombian Law 1480 of 2011 (Art. 47(1) and (4)), Chilean Law 19.496 (Art. 3 bis(b)), Argentine Law 24.240 and Civil and Commercial Code (Art. 1116(a)), Mexican Federal Consumer Protection Law (LFPC), Peruvian Law 29571, Uruguayan Law 17.250 (Art. 16), Brazilian Consumer Defense Code (CDC), and Directive 2011/83/EU (Art. 16(m)) and the UK Consumer Contracts Regulations 2013.
Non-Waivable Statutory Remedies. Nothing in these Terms limits any mandatory consumer remedy that cannot be waived by law in your jurisdiction (such as statutory payment reversal in cases of proven payment fraud or unauthorized debit under applicable law).
10. Privacy policy and personal data protection
10.1 Data We Process. We process only the minimum data necessary to operate the service: (a) Account data: basic account identifier, email address, and display name provided by the OAuth sign-in provider you choose (Google or Microsoft); (b) Device and security data: an installation identifier, application version, operating system, session lease tokens, and IP address, used strictly for authentication, security, and abuse prevention; (c) Plan and usage metadata: active plan, validity dates, included, used, and reserved seconds, and session timestamps (start, end, and duration) without any conversation content; (d) Payment metadata: order, subscription, and receipt identifiers, amount, currency, status, and dates received from our Merchant of Record (Lemon Squeezy); we never receive full payment card details; (e) Diagnostic data: aggregated technical error telemetry (error classification code, app version, and operating system) that never includes audio or conversation text; and (f) Support communications you send to us.
10.2 Voice Audio in Transit, Non-Biometric Processing and 3-Day Local Transcripts. Audio captured during an active translation session is transmitted over encrypted connections (TLS/WSS) in real time solely to generate the live spoken interpretation and text captions. Zero Cloud Recording: We do not record, store, or retain audio files or conversation text on Polyglot Live servers; voice data passes through only in transit. No Biometric Identification and No AI Training: Neither Polyglot Live nor our processors extract, generate, or store biometric voiceprints or voice templates to uniquely identify any natural person, and your audio and transcripts are never used to train artificial intelligence models. Our cloud and artificial intelligence infrastructure providers process voice data in transit on our behalf solely to deliver real-time interpretation and may retain transient technical logs only as strictly necessary for security, abuse detection, and legal compliance under their enterprise data processing terms. Local Text Transcripts: Written transcripts generated during a session are stored exclusively on the local disk of your own computer and are automatically deleted after 3 days (72 hours); they are never uploaded to our servers.
10.3 Google and Microsoft OAuth 2.0 API Limited Use Compliance. Polyglot Live uses official OAuth 2.0 with PKCE to authenticate your sign-in with Google or Microsoft. We request only basic profile identity (email address, display name, and subject ID) to associate your account with your purchased translation plan. Polyglot Live does not access your emails, contacts, calendars, or cloud files, and our use and transfer to any other app of information received from Google APIs adheres strictly to the Google API Services User Data Policy, including the Limited Use requirements.
10.4 Purposes and Legal Bases. We process your personal data to: (a) provide the translation service, authenticate your account, meter usage, and fulfill purchases (performance of a contract); (b) secure the service, prevent fraud, abuse, and unauthorized sharing, and enforce these Terms (legitimate interests); (c) maintain accounting and tax records and comply with applicable regulations (compliance with a legal obligation); and (d) respond to your support and privacy requests. Where prior informed consent or authorization is required (including under Colombian Law 1581 of 2012 and Decree 1377 of 2013, Brazil's LGPD Law 13.709/2018, Mexico's LFPDPPP, Argentina's Law 25.326, Chile's Laws 19.628 and 21.719, Peru's Law 29733, Uruguay's Law 18.331, Ecuador's LOPDP, Costa Rica's Law 8968, Panama's Law 81 of 2019, and the EU/UK GDPR), you grant your prior, express, and informed authorization by accepting these Terms, and you may revoke it at any time without affecting the lawfulness of prior processing or processing required by contract or law.
10.5 What We Do Not Do. We do not sell or rent your personal data, do not share it for cross-context behavioral advertising or third-party marketing, and do not engage in automated profiling that produces legal or similarly significant effects on you.
10.6 Recipients and Sub-processors. We disclose personal data only to: (a) our Merchant of Record, Lemon Squeezy (for checkout, tax compliance, and subscription billing); (b) the OAuth sign-in provider you select (Google or Microsoft); (c) enterprise cloud hosting, database, and real-time artificial intelligence interpretation providers acting as data processors (Encargados del Tratamiento) under binding confidentiality and data-protection obligations; and (d) competent public authorities when strictly required by applicable law.
10.7 International Data Transfers. Your data may be processed in Colombia, the United States, and other jurisdictions where our cloud infrastructure and sub-processors operate. Where required by law, international transfers are carried out pursuant to your express authorization, for the performance of the contract with you, or under Standard Contractual Clauses (SCCs) and equivalent data-protection safeguards.
10.8 Data Retention. Account data is retained while your account remains active and is deleted or anonymized within a reasonable period after you request account deletion, except for records we are legally required to retain. Billing, tax, and transaction records are retained for the statutory period required by commercial and tax laws (in Colombia, up to ten years). Security and session usage logs are retained only as long as necessary for billing verification, fraud prevention, and system security. Local transcripts on your computer are automatically purged after 3 days (72 hours).
10.9 Your Privacy Rights (Habeas Data, ARCO, LGPD and GDPR). Depending on your jurisdiction — including under Colombian Law 1581 of 2012 (Habeas Data), Brazil's LGPD (Art. 18), Mexico's LFPDPPP (ARCO rights), Argentina's Law 25.326, Chile's Law 21.719, Peru's Law 29733, Uruguay's Law 18.331, Ecuador's LOPDP, the EU/UK GDPR, and the California CCPA/CPRA — you have the right to know, access, update, rectify, port, restrict, object to, or request the deletion/suppression of your personal data, to request proof of authorization, and to revoke your consent without discrimination. To exercise your rights or request deletion of your account, email the Data Controller at support@polyglotsuite.com from your registered account email address with the subject "Privacy Request". We respond to consultations within ten (10) business days and to claims or deletion requests within fifteen (15) business days (or within any shorter period mandated by your local law). You also have the right to lodge a complaint with the Superintendencia de Industria y Comercio (SIC) of Colombia (www.sic.gov.co) or the data protection supervisory authority of your country of residence (such as the ANPD in Brazil, AAIP in Argentina, INAI/SABG in Mexico, ANPDP in Peru, URCDP in Uruguay, or your EU/UK Data Protection Authority).
10.10 Security Measures. We implement industry-standard technical and organizational safeguards, including TLS/WSS encryption in transit, cryptographic token verification, and least-privilege access controls. No transmission over the internet is completely immune from risk; if a security incident materially affects your personal data, we will notify you and the relevant authorities as required by law.
11. Suspension and termination
You may stop using the service at any time, cancel any active monthly subscription in the app, and request account deletion by emailing support@polyglotsuite.com.
We may suspend or terminate your access, with prior notice where reasonable, if you breach these Terms, in cases of suspected fraud, abuse, credential sharing, non-payment, or chargebacks, or when required by law. Upon termination, your license to use the software ends immediately. Termination due to your breach of these Terms does not entitle you to a refund, except where mandatory law requires otherwise. Sections that by their nature are intended to survive termination (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
12. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Polyglot Live software and service are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, timely, or error-free, that virtual audio routing will be compatible with every third-party calling application or hardware configuration, or that AI translations and transcriptions will be completely accurate or reliable.
13. Limitation of liability
To the maximum extent permitted by applicable law, neither Fredy Mendoza (operating under the trade name "Polyglot Suite") nor his suppliers, sub-processors, or licensors shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, data, goodwill, or professional opportunities, arising out of or relating to the installation, use, or inability to use the software or service, or reliance on any AI-generated translation or transcript, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total cumulative liability for all claims arising out of or relating to the software, the service, or these Terms shall not exceed the total amount actually paid by you for the service during the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot be excluded or limited under mandatory applicable law (such as liability for willful misconduct or gross negligence) and do not affect your non-waivable statutory rights as a consumer.
14. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Fredy Mendoza (operating under the trade name "Polyglot Suite") from and against any third-party claims, demands, investigations, fines, liabilities, damages, and reasonable legal expenses arising out of or relating to: (a) your use of Polyglot Live in violation of these Terms or applicable law; (b) your failure to notify or obtain legally required consent from call or meeting participants (Section 5); or (c) your reliance on AI translation output in high-risk, medical, legal, or financial contexts (Section 4).
15. Changes to these Terms
We may update these Terms from time to time. The version number and effective date appear at the top of this document. We will notify you inside the app or by email of material changes at least fifteen (15) calendar days before they take effect, except for changes required immediately by law, regulatory mandate, or security needs. If you continue using the service after the effective date, the updated Terms apply; if you do not agree, you may cancel your subscription and stop using the service before the effective date.
16. Governing law, amicable resolution and dispute jurisdiction
Governing Law. These Terms and any relationship between you and us are governed by the laws of the Republic of Colombia, without regard to conflict-of-law principles that would result in the application of the laws of another jurisdiction.
Mandatory Amicable Resolution Step. Before initiating any formal judicial, arbitral, or administrative consumer claim, you agree to first contact us at support@polyglotsuite.com with a written description of your concern and your account email so that we have thirty (30) calendar days to resolve the issue directly and amicably.
Jurisdiction and Consumer Forum Preservation. Subject to mandatory consumer protection laws, any dispute not resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Medellín, Antioquia, Colombia. If you are a consumer residing in Latin America, the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer protection laws grant you the non-waivable right to invoke the mandatory consumer provisions or consumer authorities/courts of your country of residence, nothing in this section deprives you of that statutory protection.
17. Third-party virtual audio driver notices (Windows & macOS)
Windows (VB-Audio Software — Donationware Notice): Polyglot Live on Windows includes the unmodified VB-CABLE and Hi-Fi Cable Virtual Audio Device drivers developed by VB-Audio Software (Vincent Burel, Copyright © 2010-2024 All rights reserved). Origin of VB-CABLE and Hi-Fi Cable: https://www.vb-cable.com and https://www.vb-audio.com. "VB-CABLE is a donationware, all participations are welcome." On Windows, Polyglot Live configures the local Windows MMDevice endpoint friendly labels ("Polyglot Live Speaker" and "Polyglot Live Microphone") for ease of selection in calling applications without modifying any signed VB-Audio driver binary.
macOS (BlackHole v0.7.1 — GNU GPLv3 Section 5 & Section 6 Notice): Polyglot Live on macOS distributes standalone CoreAudio HAL user-space virtual audio driver bundles ("Polyglot Live Speaker" / PolyglotLiveSpeaker.driver and "Polyglot Live Microphone" / PolyglotLiveMicrophone.driver, compiled from BlackHole v0.7.1 source code with custom bundle identifiers and endpoint UIDs, as well as the unmodified official BlackHole 2ch and BlackHole 16ch v0.7.1 installer packages), derived from BlackHole v0.7.1, Copyright (C) 2019-2026 Existential Audio Inc. (Devin Roth), licensed under the GNU General Public License v3.0 (GPLv3) and provided WITHOUT ANY WARRANTY. These CoreAudio HAL driver bundles execute as separate system audio plugins inside macOS coreaudiod and are distributed alongside Polyglot Live under Section 5 ("Mere Aggregation") and Section 6 of the GNU General Public License v3.0. Polyglot Live is an independent application that communicates solely with standard macOS CoreAudio operating-system APIs and is not endorsed by or affiliated with Existential Audio Inc. The complete GNU GPLv3 license text (LICENSE-BlackHole-GPLv3.txt), modification and build notice (NOTICE-BLACKHOLE.txt, build-polyglot-hal-drivers.sh), and the complete corresponding BlackHole v0.7.1 source code archive (BlackHole-0.7.1-source.tar.gz) are included inside the application's drivers/blackhole directory, and are also available at https://github.com/ExistentialAudio/BlackHole/tree/v0.7.1 or free of charge upon request to support@polyglotsuite.com.
Third-Party Trademarks: Zoom, Google Meet, Microsoft Teams, Discord, Windows, macOS, VB-CABLE, and BlackHole are trademarks of their respective owners and are referenced strictly for technical compatibility and license attribution. Polyglot Live is not affiliated with or endorsed by any of those third parties.
18. General provisions and language prevalence
Entire Agreement and Severability. These Terms, together with the plan details displayed at checkout and, for payment processing matters, the Merchant of Record's buyer terms, constitute the entire agreement between you and us regarding Polyglot Live. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver.
Assignment and Force Majeure. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets pertaining to the service, with notice to you. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including internet, cloud provider, or telecommunications outages.
Authoritative English Text. These Terms are drafted and published in English to ensure uniform international application. Any summary or translation is provided strictly for convenience, and the English version prevails in all respects to the fullest extent permitted by applicable law.
